Service Agreement
This agreement outlines the terms and conditions for using our services.
1. Introduction
Last updated: 17 September 2026
NexaSync is operated by MAD OVER TECHNOLOGY, a sole proprietorship, with its business address at Second Floor, Plot No-21, Panchsheel Park, G.T. Road, Sahibabad, Ghaziabad, Uttar Pradesh, 201005, India ("NexaSync", "we", "us" or "our"). This Service Agreement governs the provision of NexaSync to the business or organisation registering for or purchasing the service ("Customer", "you" or "your"), including access through nexasync.io, portal.nexasync.io and the NexaSync applications.
The person accepting this agreement confirms that they are authorised to enter into it on the Customer’s behalf. If you do not have that authority, you must not register an organisation or accept these terms on its behalf. Contact: hello@madovertech.io.
2. Acceptance of Terms
When registering through portal.nexasync.io, the Customer’s authorised representative must affirmatively accept the Terms of Use and this Service Agreement and acknowledge the Privacy Policy. Acceptance records may include the representative’s account, company, date and time, the wording presented, the choices made and technical information such as IP address and browser details. These records help us administer the agreement and demonstrate the choices made.
Acknowledging the Privacy Policy is not permission for unrelated marketing, customer-logo publicity or processing employee data without a lawful basis. Optional permissions are separate from the agreement required to provide the service. The Customer is responsible for giving its employees appropriate privacy notices and establishing a lawful basis for the employee information it asks NexaSync to process. An administrator’s acceptance does not substitute for any employee consent required by law.
A separately signed agreement takes precedence over these online terms to the extent of an express conflict.
2.1 Optional customer name and logo permission
Only when an authorised representative separately opts in or gives written permission, the Customer grants MAD OVER TECHNOLOGY a non-exclusive, royalty-free permission to display its company name and logo on NexaSync websites, social media, presentations and marketing materials, including advertisements, solely to identify it as a NexaSync customer. Customer ownership of its name and logo is unchanged. We will respect brand guidelines supplied by the Customer. This permission does not authorise disclosure of employee data, publication of testimonials or case studies, or claims that the Customer endorses NexaSync; those require separate approval.
The Customer may withdraw this optional permission at any time by emailing hello@madovertech.io. We will stop future use and remove the name and logo from materials under our control within 30 days of receiving the request. Declining or withdrawing permission does not affect service access. Registration, payment, uploading a logo for use inside an account, or continued service use alone does not grant publicity permission. This clause controls over any broader content licence elsewhere in these terms in relation to company-name and logo publicity.

You agree that any registration information you give to Mad Over Technology will always be accurate, correct and up to date.

You agree not to access (or attempt to access) any of the Services by any means other than through the interface that is provided by Mad Over Technology, unless you have been specifically allowed to do so in a separate agreement with Mad Over Technology. You specifically agree not to access (or attempt to access) any of the Services through any automated means (including use of scripts or web crawlers) and shall ensure that you comply with the instructions set out in any robots.txt file present on the Services.
You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services). You agree that you are solely responsible for (and that Mad Over Technology has no responsibility to you or to any third party for) any breach of your obligations under the Terms and for the consequences (including any loss or damage which Mad Over Technology may suffer) of any such breach. You agree to the use of your data in accordance with Mad Over Technology's Privacy Policy.
5. Customer content and service permissions
The Customer and its licensors retain ownership of information and materials submitted to NexaSync. The Customer grants MAD OVER TECHNOLOGY a non-exclusive permission to host, store, reproduce, transmit and otherwise process that material only as needed to provide, secure and support the requested service, comply with applicable law and carry out the Customer’s lawful instructions. This service permission does not transfer ownership or grant a general right to publish customer or employee information.
The Customer is responsible for the accuracy and lawful collection of submitted information and for having the rights, permissions and lawful basis needed for its use of the service. Customer content must not infringe intellectual-property rights or applicable law. We may restrict or remove content where reasonably necessary to comply with law, protect the service or address misuse.
Uploading a company logo, employee photograph, attendance record or other account material does not authorise its use in advertisements or public marketing. Company-name and logo publicity requires the separate permission in section 2.1. Testimonials, case studies and publication of customer-specific information require separate approval. Third-party content and NexaSync materials remain protected by their owners’ intellectual-property rights and may not be reused without the appropriate permission.
6. Proprietary Rights
You acknowledge and agree that Mad Over Technology (or Mad Over Technology's licensors) own all legal right, title and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist).
You further acknowledge that the Services may contain information which is designated confidential by Mad Over Technology and that you shall not disclose such information without Mad Over Technology's prior written consent.
Unless you have agreed otherwise in writing with Mad Over Technology, nothing in the Terms gives you a right to use any of Mad Over Technology's trade names, trade marks, service marks, logos, domain names, and other distinctive brand features. Unless you have been expressly authorized to do so in writing by Mad Over Technology, you agree that in using the Services, you will not use any trade mark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names or logos.
7. Exclusion of Warranties
Nothing in these terms, including sections 6 and 7, shall exclude or limit Mad Over Technology's warranty or liability for losses which may not be lawfully excluded or limited by applicable law. Some jurisdictions do not allow the exclusion of certain warranties or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages.
Accordingly, only the limitations which are lawful in your jurisdiction will apply to you and our liability will be limited to the maximum extent permitted by law.
You expressly understand and agree that your use of the services is at your sole risk and that the services are provided "as is" and "as available". In particular, Mad Over Technology, its subsidiaries and affiliates, and its licensors do not represent or warrant to you that:
